1. Agreement to Terms

By accessing and using this website and services of Stackform Systems, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Engagement Services

Stackform Systems provides consulting and implementation services related to enterprise API platforms, integration architecture, developer experience design, platform reliability, and secure workflows. All services are provided on an engagement basis and require execution of a separate statement of work (SOW) that details specific scope, deliverables, timeline, and investment.

This website and general communications are not a contract or offer of services. A binding engagement requires a signed SOW.

3. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Stackform Systems or its content suppliers and is protected by copyright and intellectual property laws.

Deliverables created during an engagement (documents, code, architectures) will be owned as specified in the applicable SOW. Unless otherwise specified, intellectual property developed by Stackform pre-engagement remains our property. Custom work created specifically for your organization becomes your property upon final payment.

4. Acceptable Use

When using our website or services, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Harass, threaten, or harm individuals
  • Transmit viruses or malicious code
  • Attempt unauthorized access to systems
  • Use the service for competitive intelligence gathering
  • Reverse engineer or decompile any deliverables

5. Confidentiality

During our engagement, we may become privy to confidential information about your business, systems, and strategies. We agree to maintain the confidentiality of such information and not disclose it to third parties without your prior written consent, except as required by law or as part of case studies (with anonymization and your approval).

You agree to maintain confidentiality of our methodologies, tools, and intellectual property shared with you during the engagement.

6. Limitation of Liability

To the maximum extent permitted by law, Stackform Systems and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to this agreement or services, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or related to this agreement shall not exceed the amount paid under the applicable SOW.

7. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • Services will be uninterrupted or error-free
  • Defects will be corrected
  • Deliverables will meet your specific needs (unless expressly agreed in SOW)

8. Payment Terms

Fees for engagements are specified in the SOW. Unless otherwise agreed, invoices are due within 30 days of receipt. Payment should be made to the address or account specified on the invoice.

Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. If payment is not received within 60 days, we may suspend services until payment is made.

9. Termination

Either party may terminate an engagement by providing written notice. Termination does not relieve payment obligations for work completed prior to termination. Specific termination terms and notice periods are detailed in the applicable SOW.

10. Support and Maintenance

Services provided during an engagement include knowledge transfer and training. Post-launch support and ongoing maintenance are subject to a separate support agreement and are not included in base engagement fees unless specifically stated in the SOW.

11. Dispute Resolution

Any disputes arising from this agreement shall first be addressed through good-faith negotiation between senior representatives of both parties. If negotiation fails, disputes shall be resolved through binding arbitration under the rules of American Arbitration Association, or as otherwise specified in the SOW.

12. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Twickenham, UK.

13. Entire Agreement

This agreement, along with any applicable SOW, constitutes the entire agreement between you and Stackform Systems regarding engagement services. Any prior understandings or agreements are superseded by this document. No modification of this agreement is effective unless made in writing and signed by both parties.

14. Severability

If any provision of this agreement is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

15. Indemnification

You agree to indemnify, defend, and hold harmless Stackform Systems and its officers, directors, employees, and agents from any and all claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising from:

  • Your use of our services in violation of this agreement
  • Your violation of applicable laws or regulations
  • Your infringement of third-party intellectual property rights
  • Content or information you provide to us

17. Changes to Terms

Stackform Systems reserves the right to modify these Terms of Service at any time. Changes become effective upon posting to the website. Your continued use of our services following the posting of revised terms means that you accept and agree to the changes.
